Affiliate Program Terms of Service

Welcome to the CPAPASS Affiliate Program! These Terms of Service (the "Agreement") govern your participation in our affiliate program (the "Program"). By enrolling in or participating in the Program, you agree to be bound by this Agreement.

Please Note:

  • This Agreement is in addition to, and does not replace, our general Terms of Service and Privacy Policy.
  • We reserve the right to modify these terms at any time. Continued participation in the Program after changes constitutes acceptance.

1. Program Overview

The CPAPASS Affiliate Program allows approved participants ("Affiliates") to earn commissions by referring new paying customers to CPAPASS. Commissions are earned when a referred visitor subscribes to a paid plan through your unique affiliate link and maintains their subscription beyond any applicable refund period.

Enrollment in the Program does not guarantee acceptance. We reserve the right to approve or reject any application at our sole discretion, without obligation to provide a reason.

2. Self-Referral Prohibition

You are not permitted to sign up for CPAPASS through your own affiliate link, or to refer yourself, your own accounts, or accounts you control. If we detect any self-referral activity, your affiliate account will be permanently banned and all earned commissions will be forfeited without payment.

3. Trademark and Brand Bidding Restrictions

You may not run paid search, pay-per-click (PPC), display, or social media advertisements that target any of the following:

  • Our brand names: "CPAPass," "CPA Pass," "CPAPASS," or any misspellings, variations, or abbreviations thereof;
  • Our domain names: cpapass.ai, app.cpapass.ai, or any subdomain;
  • Our trademarks, logos, or any confusingly similar marks.

This includes, but is not limited to, Google Ads, Bing Ads, Facebook/Meta Ads, TikTok Ads, and any other advertising platform. You may not bid on branded keywords, use branded terms in ad copy, or use display URLs that include our brand name or domain. Violation of this section will result in immediate termination and forfeiture of all unpaid commissions.

4. Prohibited Promotional Methods

The following promotional methods are strictly prohibited. Using any of them will result in immediate account termination and forfeiture of all commissions:

4.1 Spam and Unsolicited Communications

You may not promote CPAPASS through unsolicited bulk email, text messages, social media direct messages, or any form of spam. All communications must comply with CAN-SPAM, GDPR, and any other applicable anti-spam and privacy laws.

4.2 Cookie Stuffing and Click Fraud

You may not use hidden iframes, pop-unders, forced clicks, cookie stuffing, or any technique designed to set affiliate tracking cookies without the user's knowledge or genuine intent to visit CPAPASS.

4.3 Incentivized Traffic

You may not offer cash, points, rewards, gift cards, or any other incentive in exchange for someone clicking your affiliate link or signing up through it. This includes "paid-to-click," "paid-to-sign-up," cashback, and loyalty program traffic.

4.4 Fake Reviews, Coupons, and Misleading Content

You may not post fake reviews, fabricated testimonials, or unauthorized discount or coupon codes. Any claims you make about CPAPASS must be truthful, accurate, and not misleading.

4.5 Impersonation

You may not represent yourself as an employee, agent, or official representative of CPAPASS, or imply any such affiliation. You must clearly identify yourself as an independent affiliate.

5. FTC Disclosure Requirements

You must comply with the U.S. Federal Trade Commission (FTC) Endorsement Guides and any equivalent regulations in your jurisdiction. Specifically:

  • Every piece of content that contains your affiliate link must include a clear and conspicuous disclosure that you may earn a commission (e.g., using hashtags such as #ad, #sponsored, or #affiliate).
  • Disclosures must be placed before or immediately adjacent to the affiliate link — not buried at the bottom of a page or post.
  • For video content, the disclosure must be stated verbally and/or displayed on-screen during the relevant portion.
  • All claims about CPAPASS must reflect your genuine experience and may not be exaggerated or misleading.

Failure to properly disclose your affiliate relationship is a violation of this Agreement and may result in termination.

6. Commission Structure and Clawbacks

6.1 Earning Commissions

Commissions are earned on qualifying paid subscriptions from new customers referred through your unique affiliate link or coupon code. The current commission structure is as follows:

  • Commission rate: 20% commission on each referred customer's first paid subscription payment.
  • Cookie duration: 30 days. If a visitor clicks your affiliate link, you will receive credit for any purchase they make within 30 days of that click.
  • Qualifying referrals: Only first-time CPAPASS customers who subscribe to a paid plan qualify. Referrals of existing or returning customers do not earn commissions.

We reserve the right to modify commission rates, cookie duration, and payout thresholds at our sole discretion. Material changes will be communicated via email or your affiliate dashboard with reasonable advance notice.

6.2 Coupon Codes and Discounts

We may provide you with a unique coupon code that your referrals can use at checkout. The current standard offer is 20% off the first payment for referred customers. These codes are subject to the following rules:

  • Coupon codes are for new customers only and may not be used by existing subscribers.
  • You may not use your own coupon code to purchase a CPAPASS subscription for yourself or any account you control.
  • You may not post coupon codes on public coupon aggregator sites (e.g., RetailMeNot, Honey, coupon.com) or any site whose primary purpose is collecting discount codes.
  • Coupon codes must not be altered, fabricated, or misrepresented. Only codes officially assigned to you through the affiliate dashboard may be shared.

We reserve the right to modify or revoke any coupon code at any time. Abuse of coupon codes may result in immediate termination and forfeiture of all commissions.

6.3 Clawback on Refunded or Disputed Sales

If a referred customer receives a refund, initiates a chargeback, or disputes a payment for any reason, the corresponding commission will be reversed (clawed back) from your account. If the commission has already been paid out, the amount will be deducted from future earnings or you will be required to repay it.

6.4 Fraudulent Referrals

We reserve the right to withhold or reverse commissions on any referral we reasonably determine to be fraudulent, including referrals generated through any prohibited method described in this Agreement.

7. Payouts and Tax Requirements

7.1 Payout Schedule and Methods

Commissions are paid on a NET-30 basis (30 days after the end of the month in which the commission was earned), subject to reaching the minimum payout threshold of $100.00 USD. If your balance is below the threshold, it will roll over to the following month.

Available payout methods include Wise, Wire/SWIFT transfer, and local bank transfer. You are responsible for providing accurate payout details in your affiliate dashboard. We are not responsible for failed or misdirected payments due to incorrect information you provided.

We reserve the right to hold payouts for up to 60 days after a referral's subscription begins to account for potential refunds or chargebacks.

7.2 Tax Forms (W-9 / W-8BEN)

Before any commission payout can be processed, you must provide valid tax documentation as required by the U.S. Internal Revenue Service (IRS):

  • U.S. persons: A completed IRS Form W-9 (Request for Taxpayer Identification Number and Certification).
  • Non-U.S. persons: A completed IRS Form W-8BEN (Certificate of Foreign Status of Beneficial Owner for United States Tax Withholding and Reporting) or the applicable W-8 series form.

No payouts will be issued until valid tax documentation is on file. You are solely responsible for reporting and paying all applicable taxes on your affiliate income. CPAPASS will issue IRS Form 1099-NEC (or equivalent) where required by law.

8. Intellectual Property

We grant you a limited, non-exclusive, revocable license to use CPAPASS-approved logos, banners, and marketing materials solely for the purpose of promoting CPAPASS under this Program. You may not alter, modify, or create derivative works of our materials without written permission.

All intellectual property rights in CPAPASS, including our name, logos, trademarks, website content, and software, remain our exclusive property. This Agreement does not transfer any ownership rights to you.

9. Termination

9.1 Termination by Us

We may suspend or terminate your participation in the Program at any time, with or without cause, and with or without notice. If we terminate your account for violation of this Agreement, all unpaid commissions will be forfeited. If we terminate without cause, we will pay out any earned and verified commissions.

9.2 Termination by You

You may withdraw from the Program at any time by contacting us at support@cpapass.ai. Upon withdrawal, you must immediately remove all affiliate links and CPAPASS marketing materials from your properties. Any earned and verified commissions will be paid according to the standard payout schedule.

9.3 Effect of Termination

Upon termination for any reason, your license to use CPAPASS trademarks and materials is immediately revoked. Sections relating to intellectual property, indemnification, limitation of liability, and dispute resolution survive termination.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CPAPASS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to indemnify and hold harmless CPAPASS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the Program, your promotional activities, your violation of this Agreement, or your violation of any applicable law or regulation.

12. Relationship of the Parties

You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and CPAPASS. You have no authority to make commitments on our behalf.

13. Modifications to the Program

We reserve the right to modify any aspect of the Program at any time, including commission rates, cookie duration, payout thresholds, and these terms. We will provide reasonable notice of material changes via email or your affiliate dashboard. Continued participation after such notice constitutes acceptance of the modified terms.

14. Affiliate Data and Privacy

By participating in the Program, you acknowledge that we collect and process certain personal information, including your name, email address, payout details, and referral activity. This data is used solely for managing the Program, processing payouts, complying with tax obligations, and communicating with you about the Program.

We will not sell your personal information to third parties. We may share your data with service providers who help us operate the Program (e.g., Tolt for affiliate tracking, Stripe for payment processing, Wise for payouts). For full details on how we handle personal data, see our Privacy Policy.

15. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of California, United States, without regard to conflict of laws principles. Any disputes arising under this Agreement shall first be subject to good-faith informal resolution for a period of 45 days. If unresolved, disputes shall be brought in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
