Critical audit matters: examples under PCAOB AS 3101

For a PCAOB audit to which the CAM requirements apply, a critical audit matter is a matter arising from the current-period audit that was communicated or required to be communicated to the audit committee, relates to accounts or disclosures material to the financial statements, and involved especially challenging, subjective, or complex auditor judgment. A difficult audit area is not automatically a CAM, and a CAM does not by itself modify the opinion.

Authority and scope boundary

PCAOB AS 3101 controls CAM determination and reporting only when its CAM requirements apply. AS 3101.05 excludes audits of brokers and dealers, most registered investment companies other than business development companies, employee stock purchase, savings, and similar plans, and emerging growth companies. AICPA AU-C reporting for nonissuer audits does not use the PCAOB CAM requirement, and international key audit matter rules are a different framework. The general audit-report owner remains separate.
